Job Description:

The Corporate Secretary’s Department oversees corporate governance, corporate regulatory compliance and company administration matters for the publicly traded parent company Sun Life Financial Inc. (TSX, NYSE, PSE: SLF), its principal operating insurance company Sun Life Assurance Company of Canada and all Canadian subsidiaries in the corporate structure. The Shareholder Solutions team within the Corporate Secretary’s Department is responsible for matters facing retail shareholders and voting policyholders, an important part of the community of decision makers that form part of Sun Life’s corporate governance structure.

Reporting to the Director, Governance & Shareholder Solutions, the Manager, Shareholder Solutions is a member of the Shareholder Solutions team holding a key role in overseeing matters related to retail shareholders and voting policyholders, including regular mailings, asset reunification programs, proxy voting mechanics, unclaimed property management, and other projects as required. The incumbent will liaise with internal and external stakeholders, including Sun Life’s transfer agent, co-transfer agents, internal Sun Life Business Groups, and various third party suppliers to provide daily solutions to shareholders and voting policyholders. The successful candidate requires effective communication and problem-solving skills to interact with all stakeholders and needs to demonstrate strong initiative, positive energy and the ability to exercise sound judgment and flexibility, be an innovative thinker with superior organizational and time management skills and the ability to cope calmly and professionally with multiple demands in a high energy and changing collaborative work environment.

What you will do:

  • Oversee initiatives and engagements involving retail shareholders and voting policyholders globally, including but not limited to regular mailings, asset reunification programs, unclaimed property management, proxy voting mechanics, and other projects as required. Be responsible for the design, development and management of project plans to support the strategy and execution of these projects and related deliverables.

  • Maintain routine datasets, perform data validations and reconciliations and create reports to support various business functions, including those in connection with shareholder and voting policyholder records, shareholder assets, budget and expense management, and accounting and banking transactions.

  • Collaborate with Corporate Systems to ensure the overall health and performance of the ecosystems that feed data into the voting policyholder proxy database, including processes and workflows associated with multiple source systems, vendors and voting policyholder-facing platforms.

  • Leverage data, technology and analytical skills to provide actionable insights and support strategic objectives including developing key metrics and reports to monitor progress and KPIs on key programs and projects.

  • Lead the production of proxy materials for the statutory proxy mailings to shareholders and voting policyholders worldwide; manage this annual project in partnership with the Board Governance team in the Corporate Secretary’s Department, and in liaison with the Branding, Corporate Systems and Sustainability teams at Sun Life, as well as the transfer agent and other external service providers.

  • Manage the statutory triennial mailing to approximately 1 million voting policyholders worldwide, including vendor selection, agreement drafting, and working with the vendor to manage all aspects of the projects including timelines, form designs, development and maintenance of the electronic response platform, printing and mailing distribution and response management, and liaising with Corporate Systems to facilitate system feeds of responses into the voting policyholder database.

  • Support the Director, Governance & Shareholder Solutions with managing the quarterly director remuneration process, specifically with respect to the deferred share unit management and common share purchase components of the Plan.

  • Regularly review, update and refresh procedures for use by the Shareholder Solutions team.

  • Work collaboratively with the Subsidiary Governance and Corporate Secretarial Compliance teams on matters relating to non-financial regulatory filings, legal entity management, insider management and corporate records maintenance, as required.

  • Assist with other duties as delegated or assigned in the department, including routine and special projects, as required.

What you need to succeed:
  • 7+ years experience in a public company, law firm or in-house legal environment

  • University degree or college diploma preferred

  • Experience working with transfer agents, shareholders or in a corporate secretary’s department preferred

  • Advanced computer skills (e.g. Microsoft Office applications, Adobe Acrobat Pro and data management systems) and use of office equipment

  • Experience working with iManage, Shareworks and WDesk an asset

  • Ability to work independently as well as in a team and manage multiple priorities and timelines with sensitivity to stakeholder needs and deadlines

  • Ability to apply critical thinking in processes, escalations and issue resolution

  • Strong interpersonal skills and ability to coordinate and collaborate with internal departments and external service providers

  • Excellent attention to details

  • Ability to work effectively in a fast-paced, complex and evolving environment

  • High degree of integrity and ethics, good judgement and exceptional relationship building and interpersonal skills

  • Law clerk designation an asset

  • Canadian Securities Course an asset

The Base Pay range is for the primary location for which the job is posted. It may vary depending on the work location of the successful candidate or other factors. In addition to Base Pay, eligible Sun Life employees participate in various incentive plans, payment under which is discretionary and subject to individual and company performance. Certain sales focused roles have sales incentive plans based on individual or group sales results.
