Description
We are seeking an intermediate Regulatory Filings and Securities Law Clerk to join Manulife’s Governance, Investments and Transactions Team within a shared services model. This role is responsible for planning, coordinating, and executing public company filings and related regulatory requirements, regulatory and jurisdictional filings, ensuring accurate, timely, and cost-effective support of Manulife’s corporate and securities law obligations. The position requires strong knowledge of regulatory filings, attention to detail, and the ability to manage multiple priorities while collaborating closely with internal stakeholders across legal and business teams.
Position Responsibilities:
Compile legal materials and required information to complete corporate and securities regulatory filings (including filing continuous disclosure documents, insider reports and prospectus and related material), in Canada, the United States as well as with stock exchanges and regulatory bodies outside of North America.
Drafting standard resolutions, notices, agreements and related documentation needed to support various filings.
Draft and file disclosure documents on SEDAR+ (e.g., early warning reports, management proxy materials, notice of meeting and record dates).
Prepare and complete stock exchange, SEDAR+, TMX and EDGAR filings as required.
Support all aspects of securities registrations and filings.
Track critical dates and initiate follow-up action.
Acting as Business Unit Compliance Officer for securities-related matters.
As a member of the shared services group, provide back-up support to colleagues as the need arises and under the supervision of other members of the Governance, Investments and Transactions Team.
Maintain knowledge of developments in securities-related filing requirements and inform lawyers and others of changes impacting Manulife and revise precedent documents and internal processes and procedures to address regulatory changes.
Maintain knowledge of developments in jurisdictional and regulatory filing requirements (e.g. OSFI etc.), filing requirements for Annual, Licensing and Business Names Renewals as well as ad hoc event filings.
Complete project-based tasks supporting the lawyers in the Governance, Investments and Transactions Team.
Create and manage process documentation and make appropriate recommendations that will positively impact operational efficiency and risk mitigation.
Required Qualifications:
3+ years’ experience as a regulatory and securities law clerk or paralegal
Post-Secondary education or equivalent combination of business experience
Law clerk or equivalent certificate/diploma preferred
Working knowledge of Workiva preferred
Knowledge of Canadian securities law and corporate law
Proficiency in Microsoft Word and Excel
Exceptional organizational skills, relationship management and well-developed project management skills
Exceptional attention to detail, shown ability to work well under pressure and successfully execute multiple changing priorities
Strong interpersonal skills, with the ability to work independently as well as in a team environment and with other departments and outside parties
Strong priority-setting skills, marshaling resources to get things done and organize and maintain effective time management skills to meet deadlines for filing requirements
Ability to take direction and work independently and proactively, handling various tasks simultaneously while seeking guidance where appropriate
Ability to prioritize and handle multiple tasks in a demanding work environment
Ability to use good judgment when responding to issues or requests
Strong written and verbal communication skills
Ability to think strategically, assess alternatives for short and long-term impacts and act decisively
Ability to be discreet when handling confidential issues

Salary range is expected to be between
$62,850.00 CAD - $104,750.00 CADEmployees also have the opportunity to participate in incentive programs and earn incentive compensation tied to business and individual performance. The actual salary will vary depending on local market conditions, geography and relevant job-related factors such as knowledge, skills, qualifications, experience, and education/training.
