How you’ll make an impact
Leverage your expertise in investments and complex deal structuring to provide strategic legal leadership that supports FCC’s business strategies while maintaining regulatory compliance. As a Vice-President, Law & FCC Capital, you’ll lead the FCC Capital Legal team and provide executive-level counsel on equity, fund, debt and other investment activities and portfolio matters. You’ll also oversee the Corporate Legal Services Team.
Your strong negotiation skills and deep knowledge of the legal, commercial, and risk landscape will help you draft, review, and advise on complex agreements; oversee litigation; and advise on corporate law, employment, procurement, intellectual property, and other areas of law necessary to the daily functions of a Canadian crown corporation.

What you’ll do
Provide strategic direction for fund, debt and other investments in Canada, the U.S., the U.K. and Europe, including associated tax and structuring advice and related portfolio management matters
Analyze legal, commercial and risk landscape analysis to mitigate legal risks and support business strategies
Lead negotiation, drafting and review of complex agreements and corporate contracts (including share purchase agreements, fund documents, GP/LP documents, side letters and letters of intent)
Oversee litigation with corporate-wide impact, including decisions on commencement or settlement of non-routine actions
Lead corporate legal services, manage external counsel, and maintain relationships with peers and other Crown corporations
Manage a team of investment lawyers and corporate legal services lawyers
What you’ll bring to the team
Required qualifications
A Bachelor of Law (LLB) degree
Minimum 10+ years of related experience
Extensive knowledge of legal methodologies, practices and processes; case, contract and statute law; corporate governance; and the Canadian commercial environment with a strong focus on investing
Proven expertise in fund law, equity investments, venture investing, joint ventures, structured debt products, warrants, and tax and structuring for investments in Canada, the U.S., the U.K. and Europe
Experience providing legal advice on corporate law, human resources, procurement, contracting and compliance matters with corporate-wide impact
Experience with management of legal teams
This position is designated bilingual (English and French), and the successful candidate must be able to communicate in both of Canada’s official languages. In the event that a qualified bilingual candidate is not found, a qualified unilingual candidate will be considered and supported in their second official language training.
