Securities Paralegal

We are seeking an experienced Securities Paralegal to support the corporate services team of a dual-listed (TSX and Nasdaq) Quebec-based public company. The successful candidate will play a key role in managing securities filings, corporate governance documentation, and compliance with Canadian and U.S. regulatory requirements. This position requires a high degree of attention to detail, excellent organizational skills, and fluency in both English and French.

YOU’LL HAVE THE OPPORTUNITY TO:

  • Assist with the preparation of annual continuous disclosure (annual information form, management discussion & analysis, press releases, material change reports, proxy circulars, etc)

  • Support the drafting and coordination of prospectuses, registration statements, and offering documents

  • Attend to TSX, Nasdaq, SEDAR, EDGAR and SEDI filings and various regulatory filings and monitor developments in Canadian and U.S. securities laws to ensure ongoing compliance.

  • Assist with the administration of equity incentive plans and coordinate with the transfer agent on share issuances, transfers, and capital changes.

  • Maintain a comprehensive calendar of key filing deadlines and regulatory requirements.

  • Assist in the preparation and organization of Board of Directors and Committee meetings, as well as the annual shareholders meeting, including coordination with transfer agents and proxy service providers.

  • Maintain minute books, subsidiary records, organization chart and corporate databases

  • Help implement governance best practices and policies in alignment with TSX, Nasdaq, Board Games, and securities commission guidelines and proxy advisory firms (ISS, Glass Lewis, CCGG etc).

  • Provide due diligence and document management support for M&A, financings, and corporate reorganizations.

YOU WILL THRIVE IN THIS ROLE IF YOU HAVE THE FOLLOWING QUALIFICATIONS AND SKILLS:

  • Paralegal diploma or certificate from a recognized institution; bachelor’s degree in law or business considered an asset.

  • Minimum 5 years of experience as a corporate or securities paralegal, ideally within a public company or law firm serving public issuers.

  • Strong knowledge of TSX, Nasdaq, and securities regulatory frameworks, including SEDAR+, EDGAR, SEDI, and CSA/Nasdaq disclosure rules.

  • Proficiency with MS Office, Diligent Entities, or similar corporate governance software.

  • Fluency in English and French (written and spoken) is mandatory.

  • High level of professionalism, confidentiality, and attention to detail.

  • Ability to manage multiple priorities and deadlines in a fast-paced environment.
