We are seeking a Senior Legal Counsel (or Legal Counsel) - Corporate Law, Securities, Financing and Mergers & Acquisitions.The successful candidate will report to the Director, Legal Services - Corporate Law, Securities, Financing and Mergers & Acquisitions. This role will be responsible for corporate and securities law matters and will also provide support to most functions across the organization, including Finance, Business Development (M&A), Tax and Total Rewards teams. The position will also provide assistance with Board of Directors’ matters.
YOU’LL HAVE THE OPPORTUNITY TO:
Contribute to innovative projects related to BRP’s functions, including finance, mergers and acquisitions, and securities transactions (social impact bonds, block trades, normal course issuer bids).
Contribute to the preparation of all continuous disclosure documents, including the Annual Information Form, Management Information Circular, and Management’s Discussion and Analysis (MD&A).
Contribute to the preparation of the annual shareholders’ meeting.
Provide advice on investor relations matters, including reviewing and collaborating on earnings releases, earnings call transcripts, press releases, investor presentations, and other communications.
Assist the Director of Legal Services and BRP’s Chief Legal Officer in preparing opinions, agendas, and materials for Board of Directors and committee meetings.
Provide advice on corporate governance trends, including ISS, Glass Lewis and other proxy advisory firm positions, and lead initiatives to implement best practices.
Contribute to environmental, social and governance (ESG) disclosure efforts, as well as compliance with new related regulations.
Participate in legal department initiatives aimed at developing, managing and implementing templates, processes and procedures, delivering effective training, and providing substantive support to other members of the legal team, as needed.
YOU’LL THRIVE IN THIS ROLE IF YOU HAVE THE FOLLOWING SKILLS AND QUALIFICATIONS:
4 to 6 years of experience as in-house counsel for a publicly traded company or in a private law firm; however, we are open to more junior or more senior profiles than indicated, in which case the title and responsibilities will be adjusted accordingly.
Experience in corporate, secured transactions and financing law. Mergers and acquisitions expertise is an asset.
A curious, disciplined, autonomous and proactive individual who performs well under pressure and is able to prioritize effectively.
Strong drafting skills, excellent verbal communication abilities, and the capacity to work at all levels of the organization and build effective relationships with executives and operational teams.
A strategic team player with a high level of integrity and strong ethical standards.
Experience leading projects involving multidisciplinary professionals.
