BMO’s Enterprise Board Governance team is responsible for the planning and execution of enterprise Board governance processes and related legal advice for BMO Financial Group. The Senior Counsel, Subsidiary Governance will play a key role: (i) in ensuring that BMO’s high standards for corporate governance are met, with primary accountability for Canadian subsidiaries; and (ii) in the execution of Canadian intra-group transactions. The successful candidate will draw on their knowledge of corporate law, corporate governance and regulatory compliance; be passionate about continuous improvement; and be an expert and sensitive communicator. The role reports to the Associate General Counsel, Subsidiary Governance (Canada and International).

Primary accountabilities include:

  • Advising on corporate law and regulatory matters generally and best practices as they relate to corporate governance matters for subsidiaries;

  • Assisting with corporate secretarial duties, including planning and attending meetings, advising on agendas and materials, overseeing minutes, and providing corporate law and governance advice, primarily to Canadian subsidiary directors and officers;

  • Providing corporate law and governance advice on internal subsidiary transactions, including drafting or supervising the drafting of corporate and governance documents;

  • Coordinating engagement among subsidiary boards, their regulators, and internal and external auditors and responding to audit and regulatory requirements and inquiries;

  • Overseeing the management of the regulatory compliance program for Enterprise Board Governance;

  • Monitoring legal and regulatory developments relating to corporate governance in Canada and other designated jurisdictions;

  • Interacting collaboratively with other members of the Enterprise Board Governance group to achieve the Bank’s corporate governance goals; and

  • Acting in a leadership capacity with respect to junior colleagues, taking responsibility for their support and development.

Knowledge and Experience:

  • Minimum requirements are a degree in law (LLB or JD), licensed to practice law in Ontario and a minimum of 7 or more years of legal practice;

  • Strong legal knowledge in corporate, governance and regulatory areas; and

  • Knowledge of the business and regulatory environment in which BMO Financial Group operates would be an asset.

Skills:

  • Excellent relationship management and communication skills;

  • The ability to work both independently and in a team environment;

  • Demonstrated confidence in dealings with BMO’s subsidiary directors and senior executives;

  • Proactively providing ideas, advice and solutions for legal issues and corporate governance practices;

  • Strong legal research and analytical skills to identify and understand corporate and regulatory requirements and then apply them the Bank’s corporate governance objectives and intra-group transactions;

  • Sound judgment with the ability to manage ambiguity and make decisions; and

  • Strong time management and organizational skills including being comfortable working well under pressure to meet a variety of deadlines, set priorities and have a strong attention to detail.

*This is a hybrid role requiring a minimum of 2 days a week in the Toronto office (subject to change).

Salary:

$109,200.00 - $202,800.00

Salaries will vary based on factors such as location, skills, experience, education, and qualifications for the role, and may include a commission structure. Salaries for part-time roles will be pro-rated based on number of hours regularly worked. For commission roles, the salary listed above represents BMO Financial Group’s expected target for the first year in this position.
