A career as Legal Counsel in the Legal Documentation, Capital Markets team at National Bank involves acting as a specialist on legal matters related to trading activities and financial market transactions, while having a tangible impact on the activities of the Bank and its subsidiaries through your expertise in financial law, contractual negotiation, and legal analysis applied to complex transactions.
Your role
  • Draft, review and negotiate transactional financial contracts, including, in particular, clearing master agreements such as the ISDA Master Agreement, Security Lending and Repurchase Agreements, as well as Collateral and Custodian Agreements.
  • Provide legal opinions covering various areas of law applicable to financial markets, including secured transactions law, derivatives, financing and banking law.
  • Formulate recommendations to support business development and protect the interests of the Bank and its subsidiaries in Canada and internationally.
  • Advise financial markets teams and capital markets management groups (loans and structured business desks) on transactions across a range of debt over-the-counter and centrally cleared transactions, capital markets and structured products, bonds, and securitization instruments.
  • Contribute to special or large-scale projects and analyze legal situations that may affect financial contracts in order to appropriately guide key stakeholders.
Your teamWithin the Capital Markets sector, our team is composed of several lawyers and legal specialists. Our mission is to provide legal support, negotiation services, and documentation management for key transactional financial contracts with clients of the Bank and its national and international subsidiaries, supporting trading desks in Montreal, Toronto, Calgary, New York, Dublin, London, and Hong Kong.

Prerequisites
  • Bachelor’s degree in Law and 1 to 3 years of relevant experience in negotiation, contract drafting, banking law and/or financing.
  • Member in good standing with the Barreau du Quebec or the Law Society of Ontario.
  • Experience and knowledge, or a strong interest, in negotiating ISDA Master Agreements, Global Master Repurchase Agreements (GMRA) and Global Master Securities Lending Agreements (GMSLA), as well as related documentation, including collateral and custody arrangements.
  • Knowledge of financial transaction law and/or derivatives law.
