Associate Director, Legal

As an Associate Director on the Specialized Transactions and Products, Legal team in Toronto (which is a part of the Financial Markets division at National Bank of Canada (the “Bank”)), you will act as an expert advisor in the sector and ensure that business practices for mortgage aggregation, asset acquisition and finance, securitizations and/or derivatives comply with applicable regulatory requirements.  In this role, you will be a trusted advisor and guardian of the Bank by delivering high caliber and specialized transactional and advisory legal services to, and manage legal, regulatory and reputational risks, for supported businesses.  The successful candidate will advise on a broad range of securitization, asset acquisition and finance, mortgage-aggregation and over-the-counter derivatives related legal matters in a fast-paced, high volume business environment.

Your role : 

• Learning about the regulation of NBC’s securitization, asset acquisition and finance, mortgage aggregation and derivative  activities across Canada to assist with monitoring and addressing applicable statutory requirements and managing legal risks
• Providing legal support to NBC’s Asset Acquisition and Finance, Securitization, Mortgage Derivatives Business, Risk Management Solutions Group and Global Securities Finance teams
• Supporting the development, structuring and documentation of public/private securitization transactions, asset acquisition and finance transactions, mortgage aggregation transactions and other complex and structured derivative transactions
• Participating in legislative, business or industry initiatives representing NBC’s legal interests
• Coordinate with and managing internal and external stakeholders including, legal, regulatory, compliance, taxation and accounting

Your team

On the Specialized Transactions and Products, Legal team, you will work with a team of 15 lawyers and paralegals located in both Toronto and Montreal. You will be based in the Toronto office and report directly to the Managing Director, Specialized Transactions and Products, Legal, who is also located in the Toronto office.  Our team stands out for its efficiency, responsiveness, availability, expertise, creativity and dynamism.

Basic requirements : 

• 5+ years of securities law, secured lending or other transactional role experience working in an in-house legal department or nationally recognized law firm
• LL.B./J.D. from a recognized law school and good standing membership in the Law Society of one of the provinces of Canada
• Subject matter expertise in capital markets legal and regulatory issues and how it operates, with experience advising on Canadian securities and banking law matters and treasury services transactions
• Broad and deep understanding of the legal and regulatory environment governing financial services activities in Canada, US and other G20 countries
