We are looking for an experienced Corporate Paralegal to join us. As a member of our team, you are actively involved in all stages of corporate files. You will work closely with all members of our team, including partners, associates, paralegals, and administrative support to help our clients through the corporate life cycle and transactional mandates. Your organizational skills, initiative, and strong work ethic will allow you to coordinate and meet the deadlines of multiple files.  

KPMG Law LLP’s Family Office Team assists companies and individuals with estate and wealth planning and corporate reorganizations and restructurings. KPMG Law is involved in each stage of tax driven corporate reorganization work – from planning to implementation. 


What you will do

This hybrid role requires in‑person presence at our Montreal office and involves working primarily with English‑speaking clients, including communicating in English (written and verbal) and supporting the preparation of English‑language documents. Other tasks include:  

 

  • Manage corporate records, including maintenance of minute books, requisite registers and ledgers, and the corporate entity database. Additionally, oversee digitization of physical minute books. 
  • Prepare documents for formation and organization, amendment, continuance, amalgamation, extra-provincial registration, and dissolution of corporations, sole proprietorships, and partnerships. 
  • Work on multiple transactions and matters simultaneously, providing support to lawyers with legal and administrative duties, including monitoring ongoing corporate law filings, and establishing direct client relationships. 
  • Maintain and contribute to precedent databases, while also managing and communicating with lawyers regarding various legal matters. 
  • Respond to complex requests for information relating to corporate secretarial matters from a variety of clients. 
  • Perform online searches (Corporations Canada, REQ, RDPRM, Land Registry Office). 
  • Manage corporate law filings and ensure timely filing of annual declarations and transactional filings. 

What you bring to the role

  • Certificate in Law or Paralegal Diploma with combination of experience as a corporate law paralegal with a minimum of five (5) years’ experience as a Paralegal. 
  • Experience with corporate transactional work is required. 
  • Advanced computer skills are required (e.g. formatting and revising in Microsoft Office and Adobe, converting styles, cross-referencing, working with MinuteBox etc.). 
  • Excellent organizational/follow up skills; attention to detail, proofreading and accuracy are required. 
  • Excellent time management skills; ability to effectively manage conflicting requirements and priorities. 
  • Self-motivated to achieve high standards and able to work well autonomously and in a team   
  • Demonstrated ability to handle privileged and confidential information with sensitivity and discretion. 
  • Proficiency in English is required to communicate with clients
