About the Role
You will work closely with a corporate-commercial partner and associate on a variety of matters, including mergers and acquisitions, commercial financing, and contract drafting. The role provides exposure to both straightforward and complex transactions, allowing you to further develop your expertise. It’s well-suited to someone who is detail-oriented, enjoys variety, and takes ownership of seeing files through to completion. There is clear opportunity for growth and increased responsibility over time.

Key Responsibilities
In this role, you will manage files from initial client intake through to post-closing. Your work will include supporting business acquisitions and divestitures (both share and asset deals), as well as commercial lending transactions for borrowers and lenders.

You will draft and review key legal documents such as shareholder agreements, commercial leases, and financing agreements, and prepare closing documentation and reporting materials. The position also involves coordinating timelines, managing deadlines, and working closely with the partner to ensure matters progress efficiently. Strong organizational skills and the ability to handle multiple transactions in a deadline-driven environment are essential.

Qualifications

  • Paralegal certificate from an accredited post-secondary institution
  • At least 3 years of corporate commercial experience
  • Demonstrated experience with M&A transactions, commercial lending, and file management
  • Familiarity with LTO and PPR registrations and processes
  • Strong drafting skills for contracts and related legal documents
  • Excellent organization, time management, and multitasking abilities
  • Strong written and verbal communication skills
  • Ability to work independently while collaborating effectively with lawyers and clients
  • High attention to detail and sound professional judgment
  • Comfortable working under pressure with tight deadlines
  • Flexibility to work additional hours when needed to support closings
