Your Opportunity
BDO Law LLP is looking for an Intermediate Law Clerk and own the following responsibilities:
Coordinate and assist senior clerks and corporate lawyers with legal and administrative duties across a wide range of corporate and commercial matters.
Conduct basic to complex corporate reviews and due diligence related to corporate transactions; identify deficiencies, recommend rectifications, and prepare related materials including corporate structure charts.
Prepare and file documentation for simple and advanced corporate transactions including incorporations, amendments, continuances, amalgamations, and dissolutions under various federal and provincial legislations.
Draft documentation for tax-driven transactions, including Section 85(1) rollovers and Section 86 share exchanges under the Income Tax Act.
Maintain corporate minute books, including preparation of routine resolutions for annual meetings, changes to directors/officers/registered office, share provisions, and dividend declarations.
File and maintain registrations for corporations, partnerships, and limited partnerships across various jurisdictions.
Prepare and file annual returns and notices (initial/change) under the Corporations Information Act (Ontario) and the Canada Business Corporations Act.
Support senior clerks with large transaction closings, including compiling closing books, drafting documentation, performing online due diligence searches, and preparing summary reports.
Act as a liaison with lawyers and clients on corporate filing obligations, ensuring ongoing compliance and efficient communication.
Provide guidance and mentorship to junior clerks within the corporate law group, supporting their professional development and knowledge transfer.
Contribute to a collaborative team culture that values innovation, excellence, and client service.

Your experience and education
5-7 years of experience as a law clerk with significant exposure to corporate/commercial law, ideally in a mid-to-large firm or professional services environment.
A Law Clerk diploma or certificate from a recognized post-secondary institution, preferably accredited by the Institute of Law Clerks of Ontario (ILCO).
Demonstrated proficiency in corporate procedures, including corporate compliance, minute book management, and electronic legal documentation.
Familiarity with corporate filings and search platforms such as Ecore.
Solid understanding of Canadian business law, corporate statutes, and governance best practices.
High proficiency in Microsoft Office, particularly Word and Excel; experience with legal practice management tools is an asset.
Excellent written and verbal communication skills, with a strong client service orientation.
Exceptional organizational skills with the ability to manage multiple priorities and meet tight deadlines.
Strong problem-solving and critical-thinking skills with meticulous attention to detail.
Demonstrated commitment to continuous learning and development, including embracing digital tools and innovation in legal service delivery.
