KPMG Law LLP is a national law firm affiliated with the professional services firm of KPMG LLP, with offices in major markets across Canada. As an integrated, multidisciplinary firm, our lawyers work closely with accountants and other professionals on complex client engagements across a broad range of legal and tax-related practice areas.

 

We are currently seeking a Corporate Commercial Lawyer to join the Family Office Group at our Montreal (Simpson) office to be a key member of its growing legal practice. The successful candidate will have the opportunity to work on diverse and intellectually challenging files that involve all aspects of corporate law.


What you will do

  • Participate in a variety of corporate transactions, including mergers and acquisitions, private investments and financing, corporate restructurings, and other strategic operations primarily affecting private companies.
  • Take full responsibility for certain mandates or specific aspects of transactional files, ensuring proper coordination and follow-up with clients and various stakeholders.
  • Draft, analyze, and negotiate complex transactional agreements and documents in both French and English.
  • Collaborate with various professionals involved in the transactions to ensure the efficient progression of files.
  • Advise clients on corporate law matters, including company formation, governance issues, and compliance obligations.
  • Prepare, review, and negotiate various commercial contracts related to clients' activities, including shareholders’ agreements, share and asset purchase agreements, partnership and co-ownership agreements, etc.
  • Conduct due diligence related to our clients’ transactional work and complex corporate reorganizations
  • Research and draft memorandum and legal opinions on various corporate and business law issues
  • Support other legal matters related to corporate governance and compliance.

What you bring to the role

  • Minimum of 3 years of relevant experience in corporate transactions, commercial law, and restructurings gained with a leading law firm.
  • J.D. or L.L. B. from an accredited law school and licensed to practice law in Quebec
  • A collaborative, team-oriented approach to work
  • Client service orientation with the ability to create effective working relationships across business lines, and with external stakeholders, on legal and business matters
  • A thoughtful, strategic team member, who will act with the highest ethical standards and with integrity, while contributing positively to the culture and ongoing development of the team
  • Ability to demonstrate analytical and problem-solving skills within a fast-paced environment
  • Strong attention to detail and accuracy, ability to multi-task, organize and meet aggressive deadlines
  • Excellent research, verbal and written communication skills
  • Excellent oral and written communication skills in French and English to communicate with clients.
