Job Description

This role is a law clerk position for Manulife, working within Group Functions, based in Toronto, and reports to the VP & Chief Counsel, Corporate Law. The Corporate Law Clerk provides law clerk services to ensure the timely, and cost-effective support for matters related to Manulife’s corporate and securities regulatory requirements. The Corporate Law Clerk is responsible for independently handling a variety of corporate regulatory requirements, most of which will typically impact more than one business unit, and which will often require discretion, judgement and confidentiality.

Key Accountabilities:

1.Independently provide support to the lawyers in Corporate law group and internal clients regarding corporate secretarial functions for Manulife and its subsidiaries, including:

  • Drafting resolutions, agreements and documentation needed to support a variety of transactions;

  • Corporate licensing and registrations, incorporations, dissolutions, upkeep of minute books and preparation of record books for transactions;

  • Updating and maintaining entities in Manulife’s corporate secretarial database; and

  • Addressing sophisticated requests for information or support related to corporate secretarial matters from a variety of internal clients.

2. Provide back-up support as the need arises, under the supervision of other members of the Corporate Law group, in relation to securities regulatory filings including filing continuous disclosure documents, insider reports and prospectus and related material.

3. Maintain knowledge of developments in Canadian corporate law requirements relevant to corporate matters and revise precedent documents and internal processes and procedures to address regulatory changes.

4. Provide support in maintaining Manulife’s trademark registrations.

5. Responsible to support the VP & Chief Counsel, Corporate Law in the provision of law clerk services and maintenance of service standards to Group Functions, including assisting with project-based tasks.

What will be expected from Me?

  • Post-secondary education.

  • College level law clerk training.

  • Demonstrated ability as a law clerk with the law department of a major corporation or at a major law firm required, minimum 6 years experience.

  • Outstanding interpersonal, organizational and research skills with the ability to work well in a team environment as well as with other departments and outside parties.

  • Strong priority-setting skills, marshaling resources to get things done and effective use of time to meet deadlines for filing requirements.

  • Ability to be discreet when handling confidential issues.

  • Ability to take charge, work independently and proactively and handle various tasks simultaneously.

  • Ability to use good judgment when responding to issues or requests.

  • Attention to detail, shown ability to work well under pressure and successful execute multiple changing priorities.

  • Excellent oral and written communication skills, a strong command of legal terms and definitions.

  • Excellent PC skills: Microsoft Office, Access, Adobe Acrobat.

  • Knowledge of SEDAR, SEDI, EDGAR an asset.

  • Willingness to engage in continuous professional development.

  • Demonstrated ability to adapt to continuous change and to succeed in an environment of uncertainty.
